Hi,

Instant Messaging Freedom Inc. is a non-profit organization established in
2006 to protect the legal liability of Pidgin developers and to handle the
finances of it and its related projects (i.e. libpurple, finch, etc.)

Later, we agreed with Adium developers to do the same for that project.

Since incorporating ten years ago, I believe we've only had one board
position turnover. We've kept mostly the same board, despite -- I believe
-- most board members no longer being active on either project.

At our board meeting earlier today, a couple of us discussed giving up our
positions on the board to people more active in the community.

This is a call to nominate people to serve on the board of Instant
Messaging Freedom. Feel free to nominate yourself if you're interested, or
someone else you think might do a good job. The only qualification is that
directors must be 19 years old.

What does it entail?

We currently have seven directors (although we can vote to increase or
decrease that number depending on interest). We have one annual meeting on
a conference call, and vote for other assorted things (e.g. expenditures)
over e-mail occasionally throughout the year.

We have four officer positions. They are currently all served by different
people, but the same person may serve more than one position, with the
exception that the same person may not simultaneously be President and
Secretary. Here are the official responsibilities of each officer:

3. PRESIDENT

The President shall be the chief executive officer of the Corporation; she
or he shall preside at all meetings of the Board; she or he shall have
responsibility for the general management of the affairs of the Corporation

committee appointed by the President, and shall present such audit in

shall also present an annual report setting forth in full the financial
condition of the Corporation.

6. SECRETARY

The Secretary shall keep the minutes of the Board of Directors. She or he
shall have the custody of the seal of the Corporation and shall affix and
attest the same to documents when duly authorized by the Board of
Directors. He or she shall attend to the giving and serving of all notices
of the Corporation, and shall have charge of such books and papers as the
Board of Directors may direct; she or he shall keep a membership roll
containing the names, alphabetically arranged, of all persons who are
Directors of the Corporation, showing their places of residence and the
time they became Directors.

At our meeting today, both the President (myself) and Vice President (Mark
Doliner) expressed an interest or willingness to vacate that role, so
please consider nominating people who would do well in those positions.

me directly if you'd prefer to stay modest/semi-anonymous. I'll compile the

Regarding the SourceForge Accelerator Program:
I can see download counts and payments made to us at
https://sourceforge.net/accelerator/ I would expect other logged-in
admins for the Pidgin SourceForge project to see the same thing, but
it wouldn't surprise me if the dashboard was only enabled for me. We
could probably contact SourceForge and ask them if other people could
get access if people are concerned about this.

Regarding the IM Freedom PayPal account:
I believe Ethan and I are the two people who currently have access. We
created it specifically to receive payments from the SourceForge
Accelerator Program. I thought PayPal recognized us as a non-profit,
but the lack of a green check mark next to "Confirm your charity
status" at https://www.paypal.com/activation/businessSetup#account
makes me think otherwise. Ethan: Looks like they want an image of a
bank statement or voided check:

but it works. And I can do the same thing on the "Activity including
balance & fees" tab which allows me to view all fees. I don't see any

Perfect!  I was using a completely different interface to get at
exactly the same information, except it didn't go back as far.

I have isolated the discrepancies (there were several), and it all
basically boils down to miscalculated fees.  One transaction that I
thought was handled in a fee-free way, in particular, incurred
substantial fees.  Another transaction that I have recorded elsewhere
did not make it into the electronic books.

Everything balances now and agrees completely with the 2015
start-of-year total (which I knew was correct) with no missing
transactions.

I will be submitting an amended 2014 treasurer's report to the list
shortly.

As I mentioned on the call yesterday, I had a small discrepancy in the
2014 Treasurer's report due to missing paypal records.  Mark found a
way for me to access those records, so here is a corrected treasurer's
report.

Note that there is a substantial change here, in that a significant
payment from Google for security development was listed in the
previous report neither as coming in nor going out!  This does not
change the opening or closing balances, but does change the income and
expenditures by about $5,000 each.

2014:

Opening balance: $26,318.16
Closing balance: $26,689.04

Expenses:

 $20000.00 in development costs
    225.72 in fees

Income:
   $549.66 in affiliate payments
  20015.00 in donations
      4.94 interest
     27.00 from Spreadshirt

Just a reminder that current board memebers should let me know what they
want to do with their positions. You'll, of course, have the chance to
formally nominate people later on; this is just a straw poll of sorts. But,
if people want to give up their spot, it'll be useful to know up front how
many positions we need to fill.

I already saw Evan and Mark's thoughts.

I also haven't heard anything from the Adium list. It would be great if at
least one person currently active on Adium was willing to take a spot on
the board.

Hey all,

I just wanted to give an update of where we are with this. We currently
have four nominations for new Directors: Gary Kramlich, Richard Laager,
Eion Robb, Jorge Villaseñor.

We also have at least as many directors willing to give up their seats.
Current directors who haven't let me know their intentions yet should do
so; I'm currently assuming you're all willing to give up your seat.

Because it looks like we're likely to replace more than half the board,
I'll propose that we elect directors first, and then let the new board
elect officers themselves.

The only thing holding this up right now is that I haven't heard anything
from any active Adium people. I don't think my e-mails are getting through
to devel at adium.im and #adium-devl on Freenode is pretty dead.

If someone on Adium can either can confirm that my messages are getting
through and there's just no interest in board positions, or let me know the
best way to get through to the team, that would be appreciated.

Hey,


So I was able to get through to the Adium list and get a nomination for
Matthew Needham. Evan Schoenberg says he would be happy to second this
nomination.

With that, we have five potential new board members and five potential
board vacancies. I suspect this will be straightforward enough to do over
an e-mail vote, but let me know in the next few days if there are any
objections to the process.


Proposal:

The Board of Directors of Instant Messaging Freedom, Inc. shall comprise:

John Bailey
Ethan Blanton
Gary Kramlich
Richard Laager
Matthew Needham
Eion Robb
Jorge Villaseñor

Officers will be chosen by the new board in an election presided by Ethan
Blanton, the sole remaining incumbent officer.

Outgoing officers shall brief their replacements regarding their
responsibilities on the board.

Barring any objections, voting will begin Tuesday, July 5th at 12:00pm, EDT
(extended from the normal 72 hours to account for the holiday weekend).
Voting will end July 12th at 12:00pm EDT, or when a majority of the board
has voted one way or the other.
